Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of evaluate.club ("Service"), operated by Toothy Inc. ("Company", "we", "us", or "our"), a company incorporated in the Republic of Korea.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

evaluate.club is a web-based evaluation platform that enables organizations to:

  • Create structured evaluation forms with customizable criteria
  • Share secure, token-based links with evaluators
  • Automatically calculate scores using multiple methods (Average, Trimmed Mean, Maximum)
  • View real-time leaderboards and export results
  • Track team performance across evaluation rounds

3. Account & Organization

To use the Service, you must create an account using a valid email address. Upon registration, you will create or join an organization. A single user may belong to multiple organizations.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Credit System & Payments

The Service operates on a credit-based system:

  • Each evaluation form creation consumes 3 credits
  • Standard pricing: $1.50 per credit (under 30 credits)
  • Volume pricing: $1.00 per credit (30+ credits)
  • New organizations receive 20 free bonus credits upon creation
  • Evaluator access is always free — there are no per-seat or per-evaluator fees

All payments are processed by Polar (polar.sh), which acts as the Merchant of Record. Polar handles payment processing, tax collection, and invoicing on our behalf. By making a purchase, you also agree to Polar's Terms of Service.

5. User Obligations

You agree to:

  • Use the Service only for lawful purposes
  • Not misuse, disrupt, or attempt to gain unauthorized access to the Service
  • Take responsibility for all evaluation data you create or upload
  • Maintain the security of your account credentials
  • Not share evaluator access tokens with unauthorized individuals

6. Intellectual Property

The Service, including its design, code, features, and branding, is the intellectual property of Toothy Inc. and is protected by applicable intellectual property laws.

You retain ownership of all content and data you create or upload to the Service. By using the Service, you grant us a limited license to process and store your data solely for the purpose of providing the Service.

7. Data & Content

You own all evaluation forms, criteria, scores, and related data you create through the Service. You are solely responsible for the accuracy and legality of any content you submit.

We do not access, review, or use your evaluation data for any purpose other than providing and improving the Service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Toothy Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as described in our Privacy Policy.

11. Modifications

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Ulsan District Court.
